Terms of Use

1. General Overview

These Terms & Conditions (“Terms”) govern all services provided by Mavenoak SAS Pvt Ltd, a licensed security agency operating under the Private Security Agencies Regulation Act, 2005 (PSARA). By engaging our services, the client agrees to comply with and be bound by these Terms.

2. Licensing & Compliance

  • The agency holds a valid PSARA License issued by the competent authority under the PSARA Act, 2005.
  • All security personnel are verified and trained as per the PSARA (Training) Rules, 2005.
  • The agency complies with applicable labour laws, minimum wage rules, EPF, ESI, and other statutory obligations.

3. Scope of Services

The agency provides the following services, depending on the agreement:

  • Physical guarding (industrial, commercial, and residential)
  • Personal protection & escort services
  • Event and crowd management security
  • Electronic surveillance & monitoring
  • Housekeeping, facility management, and support staff

Any additional services must be mutually agreed upon in writing.

4. Deployment & Operations

  • The agency will deploy trained and uniformed guards as per client requirements.
  • Replacement of personnel (if required) will be provided within 24–48 hours.
  • Guards are prohibited from using force or weapons unless permitted by law or in self-defense.
  • Attendance, performance, and conduct of guards shall be supervised by the agency’s field officers.

5. Client Obligations

  • The client must provide safe working conditions for deployed personnel.
  • The client must not assign agency guards to perform unauthorized or unlawful duties.
  • Any damage, injury, or loss caused by third parties must be reported immediately.
  • The client must ensure proper access for guards to perform their duties effectively.

6. Payment Terms

  • Invoices are raised monthly in advance or arrears as per the agreement.
  • Payments are due within 7–15 days of invoice submission.
  • Delayed payments beyond 30 days may attract an interest charge of 1.5% per month.
  • Applicable taxes (GST, etc.) will be charged as per prevailing laws.

7. Liability & Indemnity

  • The agency will not be responsible for loss or damage due to negligence or acts beyond its control.
  • The agency’s liability, if proven, shall not exceed the amount equivalent to one month’s service charge.
  • The client agrees to indemnify the agency against any claim, damage, or loss caused due to misuse of guards or violation of legal norms.

8. Confidentiality

Both parties shall maintain confidentiality of all operational, personal, and business information shared during the course of service.

9. Termination

  • Either party may terminate the agreement with 30 days’ written notice.
  • Immediate termination may occur if there is a breach of terms, non-payment, or unlawful activity.
  • Upon termination, all dues and liabilities must be settled within 15 days.

10. Dispute Resolution

  • Any disputes shall first be attempted to be resolved amicably.
  • If unresolved, they shall be subject to arbitration under the Arbitration and Conciliation Act, 1996.
  • Jurisdiction shall lie exclusively with the courts of [Kolkata/West Bengal].

11. Force Majeure

The agency shall not be held liable for non-performance due to events beyond its control, including natural disasters, riots, strikes, or government restrictions.

12. Amendments

The agency reserves the right to amend these Terms & Conditions at any time, with prior notice to clients.

13. Acknowledgment

By availing of our services, the client acknowledges that they have read, understood, and agreed to all the above terms and conditions.
